BarcelonaThe supermarket chain Condis, backed by the investment fund Portobello Capital, completes the integration of Roges Supermercats, a family business based in Sallent (Bages) with more than 80 years of history. The culmination of this process, initiated in June 2024, comes after the National Commission on Markets and Competition (CNMC) authorized the operation last week, as detailed by Condis this Tuesday through a statement.

"The CNMC concludes that the operation does not pose any threat to effective competition in the markets where both companies operate," the text points out. The offer provided for the acquisition of 66% of Roges, since the remaining 33% was already in the hands of Condis since 2024. The amount of the integration, however, has not transpired.

With the completion of this process, the group strengthens its presence in Central Catalonia. With origins dating back to 1939, the Bages-based chain of establishments currently had 26 locations and a turnover of 31.7 million euros in 2025.

For the chain partially owned by Portobello Capital, the operation reinforces "a model based on physical and product proximity and on the contribution to the economic and social fabric." "Roges has a track record and a team that we value," remarked the general manager of Condis, Manel Romero, who at the same time has committed to maintaining the company's jobs.

According to the statement, the supermarket chain has prioritized the continuity of professionals in the central departments and workplaces, thus preserving the "knowledge and experience" accumulated over the last few years. According to the latest data, Roges Supermercats has a workforce of more than 250 employees.

With the approval of the CNMC, Condis expects that the Roges supermarkets will be incorporated into the group progressively. Both chains have a similar store format and, according to the group led by Manel Romero, they also bet on high-quality, seasonal fresh produce. "All this will allow for easy integration into the company's structure," assures the company, which estimates that this entire process will be completed before the end of the year.

Expansion strategy

In addition to absorbing Roges Supermercats, Condis also closed a deal this summer to acquire Dispreu, one of the main distribution operators in Menorca, which manages the Binipreu establishments. The operation—which included eight supermarkets, three logistics platforms, and the Binipreu shopping center on the island—marks a return to geographical expansion outside of Catalonia, after a few years marked by the group's consolidation within the country.

Within the framework of this strategy, Condis closed a 305 million euro refinancing operation this summer to obtain the necessary liquidity to address the two acquisitions in Central Catalonia and the Balearic Islands.

The latest news arrives shortly after Cinco Días published the interest that Carrefour had in the Catalan company. In the piece, it was noted that the ownership of Condis had explored a possible sale as an alternative to refinancing. In parallel, reports indicated that Carrefour had studied the acquisition of Condis to expand across Catalan territory.

From the chain participated in by Portobello, however, it was assured that the company "does not foresee any operation that would involve a change in its capital structure" and that, after completing the refinancing process, Condis is focused on the consolidation of the Dispreu and Roges operations.
