Molinos buys the Portuguese company Secil for €1.4 billion

The transaction will be completed during the first quarter of next year.

BarcelonaCatalan cement company Molins has reached an agreement with the Portuguese investment group Semapa to acquire 100% of the share capital of Secil, another Portuguese company specializing in construction materials, for €1.4 billion, the company announced to the Spanish National Securities Market Commission (CNMV) on Friday. Molins explained in a statement that the transaction represents a "significant milestone" in its growth strategy, as it strengthens its presence in Europe and completes its expansion in Latin America with its entry into Brazil, the only major market in the region where it did not yet have a presence. Molins CEO Marcos Cela stated that "Secil brings a solid international presence and a strong culture rooted in its family industrial heritage, with values that we deeply share." The Catalan cement company will finance the acquisition with a combination of available cash, funds from a syndicated loan, and a bond issuance. Secil has a workforce of over 2,900 employees and recorded sales of €740 million in the last twelve months. The transaction, subject to customary conditions, is expected to close during the first quarter of 2026 and its completion will be communicated to the market during the presentation of the following quarter's results, including the financial impacts.
