Alliance between chipmaker AMD and OpenAI

BarcelonaChipmaker AMD and OpenAI, the creator of ChatGPT, have announced a six-gigawatt deal to power OpenAI’s next-generation artificial intelligence infrastructure across multiple generations of AMD Instinct graphics processing units (GPUs). The first deployment, of a 1-gigawatt AMD Instinct MI450 GPU, is planned to begin in the second half of 2026. Under the agreement, Open AI could eventually own up to 10% of AMD, Nvidia’s primary competitor, with whom it also recently finalized a deal.

AMD’s leadership in high-performance computing systems and OpenAI’s pioneering research and advancements in generative AI position the two companies at the forefront of this important and pivotal moment for AI, according to a joint statement. Under this definitive agreement, OpenAI will work with AMD as a strategic core computing partner to drive large-scale deployments of AMD technology, starting with the AMD Instinct MI450 series and rack-scale AI solutions, and extending to future generations.

By sharing technical expertise to optimize their product roadmaps, AMD and OpenAI are deepening their multi-generational hardware and software collaboration that began with the MI300X and continued with the MI350X series. “This partnership creates a true win-win for both companies, enabling AI to be deployed at very large scale and advancing the entire ecosystem,” they note.

As part of the agreement, AMD has issued OpenAI a warrant of up to 160 million shares of its common stock, structured to vest as specific milestones are achieved. The first tranche vests upon the initial deployment of 1 gigawatt, with additional tranches vesting as purchases scale up to 6 gigawatts. The acquisition is further tied to AMD achieving certain stock price targets and OpenAI achieving the technical and commercial milestones necessary to enable AMD’s large-scale deployments.
