CaixaBank will propose to shareholders the re-election of Tomàs Muniesa as president
Amparo Moraleda is leaving her post and will be replaced by Ana María Fau.
BarcelonaCaixaBank's board of directors will propose to the shareholders' meeting on March 27 the re-election of Tomàs Muniesa as chairman for a four-year term, representing the main shareholder, the La Caixa Foundation. Muniesa has held the position since last year. At the same time, the appointment of Ana María Fau as an independent director will be proposed to fill the vacancy left by Amparo Moraleda. who was appointed vice president last year and that by the time the meeting is held, he will have held the position for twelve years.
At the board meeting held in Valencia, the appointment by co-option of Pablo Arturo Forero Calderón as an independent director was also agreed upon. Until now, he held the category of "other external director." And finally, the re-election of Eduardo Javier Sanchiz as an independent director for four years will be proposed.
Once the appointments are approved, the CaixaBank board of directors will maintain the same structure of 15 members, of whom 10 – 67% – are independent directors. Women's representation reaches 40%.
With these decisions, the board will be: Tomás Muniesa, Chairman and proprietary director; Gonzalo Gortázar, CEO; The independent directors Eduardo Javier Sanchiz Irazu, Luis Álvarez Satorre, María Verónica Fisas Vergés, Pablo Arturo Forero Calderón, Rosa María García Piñeiro, Cristina Garmendia Mendizábal; Peter Löscher; Bernardo Sánchez Incera; Koro Usarraga Unsain and Ana María García Fau; the proprietary directors José María Méndez Álvarez-Cedrón and Teresa Santero Quintilla; and the "other external" director Fernando María Costa Duarte Ulrich.
