Fluidra's families contribute 20% of the capital to the company ADBE

The founders contribute 20% of the capital, 5% each in the ADBE company; and the remainder will continue in each family's companies.

BarcelonaThe four founding families of Fluidra (Garrigós, Planes, Serra, and Corbera) have renewed their shareholder agreement and contributed 20% of their shares to ADBE. This move "does not entail any significant change to the shareholding structure nor does it generate any change in the board of directors," according to a statement submitted by the company to the Spanish National Securities Market Commission (CNMV). ADBE is 25% owned by the four founding families, each contributing 5% of Fluidra. It has a board of directors on which all four families are represented, in addition to two independent directors. The four families together hold 28.2975% of the capital of the Catalan company listed on the Ibex 35.

The shares not included in the joint venture will continue to be held in syndicate as stipulated in the agreement signed in 2007, with each family holding them in a separate company. The Planes family owns shares in Dispur; the Serra Duffo family, in Boyser; the Garrigós family, in Aniol and Piumoc; and the Corbera Serra family, in Edrem. ADBE is an investment company established by the family offices of the four families. The goal is "to jointly and professionally organize their future investments."

The company also announced that the CEO, Eloi Planes, has transferred one million shares of Dispur, the company through which his family holds its stake in Fluidra. According to the group, this is "solely a reorganization of the family investment structure."
