The Catalan cement and construction group Molins has reached an agreement with the Portuguese investment group Semapa to acquire 100% of the share capital of Secil, another Portuguese company specializing in construction materials, for €1.4 billion, as announced by the company to the Spanish National Securities Market Commission (CNMV) on Friday. With this acquisition, Molins gains industrial and international strength. The Catalan family-owned group, which is publicly traded, explained in a statement that the transaction represents a "significant milestone" in its growth strategy, as it reinforces its presence in Europe and completes its expansion in Latin America, with its entry into Brazil, the only major market in the region where the Catalan company currently operates. Molins CEO Marcos Cela stated that "Secil brings a solid international presence and a strong culture rooted in its family industrial heritage, with values that we deeply share." The Catalan company will finance the transaction with a combination of available cash and funds from a syndicated loan, as well as a bond issue. Secil has a workforce of over 2,900 employees and recorded sales of €740 million in the last twelve months. The transaction, subject to customary closing conditions, is expected to close during the first quarter of 2026 and its completion will be communicated to the market during the presentation of the following quarter's results, including the financial impacts. 10 million tons of production

The Catalan company expects Secil to make "an immediate and sustained contribution to results from the first year, supported by significant synergy potential, a solid contribution to earnings, and robust cash generation," it said in a statement. Molins explained that Secil is headquartered in Lisbon and operates in eight markets. The Portuguese company has an annual cement production capacity of approximately 10 million tons and its business includes cement, concrete, aggregates, construction solutions, and circular economy initiatives.
